VIP MEMBERSHIP TERMS & CONDITIONS

1. OVERVIEW

The Raised By Rhythm VIP Membership ("VIP Membership") is an optional subscription program offered by True American Holdings LLC ("Sponsor," "Company," "we," "our," or "us").

The VIP Membership provides members with exclusive pricing, early access opportunities, member-only promotions, Sweepstakes benefits, and other perks.

By enrolling in the VIP Membership Program, you agree to these VIP Membership Terms & Conditions, the Raised By Rhythm Terms of Service, Privacy Policy, and all applicable Sweepstakes Rules.

2. MEMBERSHIP FEE

Current Membership Price

$14.95 Per Month

Membership automatically renews every month unless canceled.

Sponsor reserves the right to modify membership pricing at any time. Any pricing changes will apply only after reasonable notice has been provided.

3. AUTOMATIC RENEWAL DISCLOSURE

BY ENROLLING IN VIP MEMBERSHIP, YOU AUTHORIZE TRUE AMERICAN HOLDINGS LLC TO CHARGE YOUR SELECTED PAYMENT METHOD $14.95 PER MONTH ON A RECURRING BASIS UNTIL CANCELED.

Membership renews automatically each billing cycle.

You may cancel at any time before your next billing date to avoid future charges.

You will receive access to membership benefits only while your membership remains active and in good standing.

  • Additional Exclusive Benefits Added From Time To Time

A. WHOLESALE PRICING

VIP Members receive access to exclusive member pricing and discounts on qualifying merchandise.

Discount percentages and product eligibility may vary.

B. EARLY ACCESS

VIP Members may receive access to new product launches, limited releases, collaborations, special collections, and presale opportunities before they are offered to the general public.

Early access does not guarantee product availability.

C. MEMBER-ONLY PRODUCTS

VIP Members may receive access to products, merchandise, bundles, collaborations, and special offers not available to non-members.

D. MEMBER-ONLY GIVEAWAYS

VIP Members may periodically receive access to member-exclusive giveaways, experiences, promotions, contests, sweepstakes, and other opportunities.

Separate rules may apply.

E. MONTHLY SWEEPSTAKES ENTRY BUNDLE

100 Sweepstakes Entries Every Month

To receive monthly entries:

  • Membership must be active
  • Membership payment must be current
  • Member must satisfy all Sweepstakes eligibility requirements

Unused entries do not carry forward into future Sweepstakes periods.

F. RETAIL VALUE ENTRY CREDIT

VIP Members purchasing merchandise at discounted VIP pricing will receive Sweepstakes entries based on the product's Eligible Retail Value rather than the discounted purchase amount.

Example:

Retail Price: $40

VIP Member Price: $25

Sweepstakes Entries Awarded: 40

This benefit is intended to ensure VIP Members are not disadvantaged by receiving discounted pricing.

5. SWEEPSTAKES DISCLOSURE

NO PURCHASE OR MEMBERSHIP IS NECESSARY TO ENTER OR WIN ANY SWEEPSTAKES.

VIP Membership is entirely optional.

Sweepstakes participation is governed by the Official Sweepstakes Rules.

Alternative methods of entry remain available to non-members as described in the applicable Official Sweepstakes Rules.

6. MEMBER ACCOUNT RESPONSIBILITY

Members are responsible for maintaining accurate account information, valid payment methods, and current contact information.

7. BILLING AUTHORIZATION

By enrolling, you authorize Sponsor and its payment processors to charge the payment method provided for monthly membership fees, applicable taxes, and authorized account updates.

If payment fails, Sponsor may attempt to rebill the payment method.

Membership benefits may be suspended until payment is successfully processed.

8. CANCELLATION

Members may cancel at any time.

Cancellation may be completed through:

  • Account Settings (if available)
  • Customer Support
  • Any cancellation method required by applicable law

Cancellation becomes effective at the end of the current billing cycle.

No partial refunds or prorated refunds will be provided unless required by law.

Upon cancellation:

  • Future billing will cease
  • Future monthly entry bundles will cease
  • Wholesale pricing access will terminate
  • Early access privileges will terminate
  • Member-only access will terminate

9. REFUNDS

Membership fees are generally non-refundable.

Sponsor may issue refunds at its sole discretion.

10. CHARGEBACKS AND PAYMENT DISPUTES

If a member initiates a chargeback, payment dispute, reversal, fraud claim, or unauthorized transaction claim, Sponsor may suspend or terminate membership and revoke future membership benefits.

11. FRAUD, ABUSE, AND MISUSE

Sponsor reserves the right to suspend or terminate any membership if it believes a member has violated these Terms, manipulated promotions, engaged in fraudulent conduct, abused membership benefits, or attempted to interfere with Sweepstakes integrity.

12. MODIFICATION OF MEMBERSHIP PROGRAM

Sponsor reserves the right to modify, replace, suspend, or discontinue membership benefits, pricing, eligibility requirements, or the program itself at any time.

13. TERMINATION BY SPONSOR

Sponsor may terminate a membership if fraud is suspected, payment obligations are not met, these Terms are violated, or continued participation presents legal, operational, reputational, or regulatory risk.

14. DISCLAIMER OF WARRANTIES

Membership benefits are provided on an "as-is" and "as-available" basis.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Sponsor shall not be liable for technical failures, website outages, inventory shortages, payment processing issues, delayed communications, service interruptions, or third-party actions.

16. GOVERNING LAW

These Membership Terms shall be governed by the laws of the State of Utah.

17. DISPUTE RESOLUTION

Any dispute arising out of or relating to the VIP Membership Program shall be resolved individually.

Members waive any right to participate in class actions, class arbitrations, or representative proceedings.

18. SEVERABILITY

If any provision of these Membership Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

19. ENTIRE AGREEMENT

These VIP Membership Terms & Conditions, together with the Raised By Rhythm Terms of Service, Privacy Policy, and Official Sweepstakes Rules, constitute the entire agreement governing the VIP Membership Program.
